What is Article 1590 of the Civil Code?

Article 1590 of the Civil Code defines the concept of a deposit in the context of a sales contract.

A deposit is a sum of money paid by the buyer before the delivery of goods or services. It constitutes an advance on the sale price and is deducted from the payment made by the buyer at the time of conclusion of the contract.

Article 1590 of the Civil Code stipulates that under no circumstances does the payment of a deposit commit the buyer to purchase or the seller to sell. Nevertheless, the party that renounces the sale is required to pay financial compensation:

– A seller who refuses to sell must not only return the deposit, but also pay the buyer a sum of money corresponding to the amount of the deposit.

– A buyer who refuses to buy does not recover the deposit, which remains with the seller.
