What is article 1590 of the Civil Code?

Article 1590 of the Civil Code defines the concept of a deposit in the context of a sales contract.

A deposit is a sum of money paid by the buyer before the delivery of a good or service. They constitute an advance on the sale price and are deducted from the payment made by the buyer at the time of the conclusion of the contract.

Article 1590 of the Civil Code provides that in no case does the payment of the deposit commit the buyer to buy, nor the seller to sell. Nevertheless, the party who renounces to conclude the sale is required to pay a financial consideration:

– The seller who refuses to sell must not only return the deposit, but also pay the buyer a sum of money corresponding to the amount of the deposit.

– The buyer who refuses to buy does not recover the deposit, which remains for the benefit of the seller.
